Company Name: Iformatlogic IT Solutions and Outsourcing

Zero Outsourcing: Iformatlogic guarantees that all work—including project management, UI/UX design, and software development—is performed strictly in-house by our full-time employees.
Progress Monitoring: By maintaining an in-house team, we ensure real-time progress monitoring, direct accountability, and a higher standard of security for the Client’s data and intellectual property.
Quality Assurance: All projects undergo internal peer reviews and QA testing within our office environment before being presented to the Client.

Project Manager Assignment: Every project is assigned a dedicated Project Manager (PM) who performs a 24-hour initialization study to map out the flow, technical logic, and business requirements.
UI/UX Excellence: A dedicated UI/UX Designer is assigned to ensure the best possible user experience. We provide two (2) initial homepage mockup designs for client collaboration and approval.
Written Proposal: Following the 24-hour study, a formal written proposal or Statement of Work (SOW) will be issued to define the project roadmap.

Deposit: A non-refundable deposit of 20% to 30% is required to secure the in-house team and begin the initialization phase.
Milestone Payments: The project is billed in installments based on the milestones defined in the SOW.
Final Settlement: Handover of the live system and credentials occurs only upon 100% payment of the total contract value.

Consumable Hours: After deployment, the Client is entitled to forty (40) consumable hours for updates, minor changes, and maintenance.
Validity: These hours expire sixty (60) days after the project’s live date.
Scope: These hours are intended for refinements; new feature requests outside the original SOW will require a separate quote.

Collaboration: The Client agrees to provide timely feedback on mockups and documents (within 3-5 business days) to keep the in-house schedule on track.
Assets: All branding assets and content must be provided during the initialization phase.

Ownership: Full ownership of the final deliverable is transferred to the Client upon final payment.
Confidentiality: Because all work is done in-house, Iformatlogic maintains strict control over project confidentiality. No third-party freelancers will ever have access to the Client's sensitive data.
Portfolio Rights: Iformatlogic reserves the right to showcase the project in our portfolio unless a Non-Disclosure Agreement (NDA) specifies otherwise.

Iformatlogic is not liable for losses caused by third-party hosting, external API changes, or unauthorized modifications made to the code by the Client after the support period.
Our total liability is limited to the amount paid by the Client for the service.

Either party may terminate with 15 days' written notice.
If the Client terminates, the 20-30% deposit is retained to cover the costs of the PM study, UI/UX mockups, and internal resource allocation.

This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed exclusively in accordance with the laws of the Republic of the Philippines. Both parties agree that the legal framework of the Philippines shall provide the sole basis for interpreting the rights, obligations, and performance standards outlined in this document, regardless of the Client's physical location or country of incorporation.
In the event of any controversy, claim, or dispute arising between the parties, both Iformatlogic and the Client agree to first attempt to resolve the matter through good-faith negotiations or formal mediation. Should such efforts fail to reach a settlement within thirty (30) days, any subsequent legal proceedings or litigation shall be brought exclusively before the courts of competent jurisdiction within the province of Zambales. The parties hereby irrevocably waive any objection to such venue on the grounds of forum non-convenience or any similar grounds.
